By using the Registry, you are agreeing to comply with and be bound by the following terms of use.

1. Subject to these Terms of Use, any person or organization may be a User provided that:

(i) every User will be required to create an Account prior to accessing the Registry; and

(ii) where the Account is be used in any way that suggests such use is in the capacity of a representative of an organization, the user represents and warrants that such use is duly authorized by that organization.

2. The User must ensure that all information and material of any kind provided or uploaded to the Registry:

(i) is true, complete and fully correct;

(iii) is updated as necessary to ensure that it remains true, complete, fully correct at all times and not in any way misleading or deceptive; and

(3) محدّثة بشكل يضمن استمرار كونها حقيقية وكاملة وصحيحة تماماً وألا تكون مضللة أو خادعة بأي شكل من الأشكال؛ و

3. Users must strictly comply with all laws and regulations relevant to access and use of the Registry and Registry Information.

4. Users must promptly provide Registry with any information requested in relation to access to or use of the Registry or Registry Information.

5. Users must strictly comply with all instructions and guidance they are advised of in relation to the Registry, Registry Information or any related matter.

6. Users acknowledge that they obtain no rights in, or in respect to, Registry Information or the Registry other than such express rights to access and use the Registry and Registry Information as may be created by reason of these Terms of Use or the application of the Law.

7. Except as may be specifically authorized by the Law or approved by Registry in writing, users must:

(i) only access and use the Registry and Registry Information exclusively for the User's own purposes (or if use of Registry is in the capacity of a representative of an organization, exclusively for the purposes of that organization);

(ii) not collect, store or use Registry Information for any purpose associated with the provision, or potential provision of, an information service to any person; and

(2) عدم جمع أو تخزين أو استخدام معلومات السجل لأي غرض مرتبط بتوفير أي خدمة استعلامات لأي شخص أو احتمالية توفيرها؛

(iii) not use (or condone or be involved with the use of) the Registry for an Unauthorized Purpose.

8. Users must provide everything needed to access and use the Registry and ensure that it is properly configured and meets all relevant requirements.

Accounts

الحسابات

The following terms and conditions shall apply to each Account and User:

تسري الشروط والأحكام التالية على كل حساب وعلى كل مستخدم:

1. Users must ensure that all Authorized Users are aware of and comply with these Terms of Use.

1. يلتزم المستخدم بضمان علم جميع المستخدمين المصرح لهم بهذه الشروط والأحكام والالتزام بها.

2. Users must not allow any other person to access or use their Account (other than your Authorized Users, if any).

2. يلتزم المستخدم بعدم السماح لأي شخص آخر بالدخول إلى حسابه أو استخدامه (خلاف المستخدمين المصرح لهم، إن وجدوا).

3. Users are responsible for all use of the Account.

4. Users must promptly update Account details and all other information when any information provided by Users relevant to the Account or usage of the Account is no longer accurate or up to date in any way (for example updating contact details when details of any Authorized User are changed or deleted in respect to the Account as soon as they are no longer authorized to use the Account).

4. يلتزم المستخدم بتحديث تفاصيل حسابه فوراً بالإضافة لجميع المعلومات الأخرى في حال عدم صحة أو حداثة أي معلومات تم تقديمها بخصوص الحساب أو استخدامها بأي شكل من الأشكال (ويشمل ذلك دونما حصر تحديث بيانات الاتصال عند تغييرها أو إلغاء تفاصيل أي مستخدم مصرح له للحساب إذا لم يعد مصرحاً له باستخدام الحساب).

5. Registry will promptly cancel your Account if notified to do so and will advise the User once cancellation has been effected.

5. يقوم السجل بإلغاء حساب المستخدم فوراً إذا تم إشعاره للقيام بذلك. وسيتم إخطار المستخدم حال إتمام الإلغاء.

6. Registry may suspend the Account, or any or all Authorized Users, at any time with or without notice for any reason Registry deems fit.

6. قد يتم تعليق الحساب أو أي من حسابات المستخدمين المصرح لهم في أي وقت لأي سبب يراه السجل مناسباً دونما حاجة للإشعار.

7. Registry may terminate a User's Account at any time with or without notice where:

(i) Registry know or reasonably suspect that:

(1) إذا علم أو اشتبه السجل لأسباب معقولة بأن المستخدم:

· the User has breached any of these Terms of Use; or

· the User or any relevant User has not fully and properly been identified to Registry; or

· the User has provided false, untrue, or misleading information; or

(ii) Registry considers that the Account has become inactive.

8. The User must indemnify Registry against any loss, damage, cost, expense, claim, proceeding or liability of any kind that Registry (or its personnel) may incur, that arises out of or in connection with unauthorized use except to the extent that such use could not have reasonably been prevented by the User of or access to the Account, or the lawful exercise of Registry's rights pursuant to these Terms of Use.

8. يلتزم المستخدم بتعويض السجل عن أي خسارة أو ضرر أو تكاليف أو مصاريف أو دعاوى أو إجراءات أو التزامات من أي نوع يتحملها (أو يتحملها موظفو السجل) تنشأ عن أو تتعلّق باستخدام السجل غير المصرح به باستثناء الاستخدامات غير المصرّحة الخارجة عن إرادة المستخدم، أو المتعلقة بالدخول للحساب، أو الممارسة النظامية لحقوق السجل وفقاً لشروط الاستخدام هذه.

Security

1. Users must comply with all security procedures and take all reasonable action to protect and maintain the security of access to and use of the Registry, including, without limitation, in respect to choice of passwords, changing passwords and maintaining the security of all usernames, passwords, tokens, access codes, encryption keys and other information relating to access, authentication or security relating to the Registry.

2. Users must take all reasonable action to prevent and detect unauthorized use of the Registry.

3. Users must take all reasonable action to ensure that access to and use of the Registry (without limitation including any information or material submitted to Registry) will not disrupt or adversely affect the Registry or its operations.

4. User must immediately notify Registry if they know or suspect that access or authentication security information has been compromised or subject to any other kind of unauthorized use or security breach, or if users detect a fault, error or problem in the Registry or Registry Information.

5. Registry is concerned about privacy and strive to collect only data required by law and to make Users' experience on the Registry as efficient as possible. The Registry has security measures in place to help protect against the loss, misuse and alteration of the data under its control. Registry follow generally accepted industry standards to protect the personal information submitted, both during transmission and after we receive it. Registry encrypts certain sensitive data using Secure Sockets Layer (SSL) technology to ensure that personally identifiable information is safe as it is transmitted. A Payment Card Industry (PCI) compliant hosted payment gateway is utilized for credit/debit card payments. No credit card information is ever transmitted to Registry servers or saved in the Registry database. While no methods are completely secure, and absolute security cannot be guaranteed, Registry strive to use commercially accepted methods to protect personal information.

5. إدراكاً من السجل لأهمية الخصوصية يحرص السجل على الحصول على المعلومات التي يتطلبها النظام فقط، وجعل تجربتكم مع السجل على مستوى عالٍ من الكفاءة. يطبق السجل إجراءات أمنية تهدف إلى منع فقدان البيانات الواقعة تحت سيطرته وسوء استخدامها وتعديلها. ويتم اتباع معايير معتمدة في هذا المجال من الأعمال لحماية المعلومات الشخصية التي يحصل عليها، سواء أثناء إرسالها أو بعد تسلمها. ويتم تشفير بعض البيانات الحساسة باستخدام تقنية طبقة المنافذ الآمنة (SSL) لضمان حماية المعلومات الشخصية أثناء إرسالها. كما ويتم استخدام بوابة دفع مطابقة للمعايير (PCI) المتبعة في عالم بطاقات الدفع في عمليات الدفع ببطاقات الائتمان/الخصم. لا يتم نقل أي معلومات خاصة ببطاقات الائتمان إلى خوادمنا أو حفظها في قاعدة بيانات السجل. وبالرغم من أنه لا توجد أي وسائل تحظى بحماية كاملة، ولا يمكن ضمان الحماية المطلقة إلا أن السجل يحرص على استخدام وسائل مقبولة على المستوى التجاري لحماية المعلومات الشخصية.

Information

The Registry acts as a public notice board where security created under and pursuant to the Law may be registered and available for searching. The role of the Registry and is to provide a platform to facilitate such public notice board. Accordingly, Users acknowledge that:

يعد السجل لوحة إشهار عامة تسجل فيها الحقوق المنشأة وفقاً للنظام ويتيح إمكانية البحث فيها. ويتمثل دور السجل في توفير منصة لتسهيل عمل لوحة الإشهار العامة. وعليه، فإن المستخدم يقر بالآتي:

1. each Registered User is solely responsible and liable for all Registry Information uploaded to the Registry by that Registered User. Registry is not responsible for authenticating, checking or verifying the accuracy, completeness or correctness of such Registry Information; and

1. يتحمل كل مستخدم وحده المسؤولية الكاملة عن جميع معلومات السجل التي يدرجها في السجل. لا يتحمل السجل مسؤولية المصادقة على صحة أو اكتمال أو دقة معلومات السجل أو مراجعتها أو التحقق من صحتها،

2. where you as a User search the Registry, the Registry Information obtained will reflect the records of the Registry (as uploaded by Registered Users) at the time of the search.

Updates and changes to the Registry

تحديث السجل والتعديل عليه

By using the Registry Users agree to be bound by and comply with these Terms of Use and all other policies, procedures and requirements of the Registry, as may be amended, supplemented or replaced from time to time.

عند استخدام السجل يوافق المستخدم على الالتزام والتقيد بشروط الاستخدام هذه وجميع السياسات والإجراءات والمتطلبات الأخرى الخاصة بالسجل، كما يتم تعديلها أو الإضافة إليها أو استبدالها من حين لآخر.

Where the Registry features, functionality and other characteristics are upgraded or changed, Registry shall endeavor to provide reasonable notice of any changes that are considered as not routine and need to be advised to Users.

يسعى السجل إلى إخطار المستخدم بقدر الإمكان عند تطوير أو تغيير خصائص السجل ووظائفه ومميزاته الأخرى، بأي تغييرات يرى السجل بأنها غير روتينية وتستوجب إخطار المستخدمين بها.

In addition, these Terms of Use together with the policies and procedures of the Registry may be changed or supplemented from to time by notice from the Registry.

للسجل تغيير شروط الاستخدام أو سياسات وإجراءات السجل أو الإضافة إليها من حين لآخر.

All updates, upgrades and changes will be notified to Users through the Registry website ( scr.bc.gov.sa ). It is the Users' responsibility to check and monitor the Registry website for any such notification. By using the Registry after the date of any change Users will be deemed to have agreed to and accepted such changes, without the need for anything further from Users. If Users do not agree to any changes Users should not use the Registry after the date the changes are notified.

Suspension and Termination

We may refuse access to the Registry or suspend its operation in whole or in part either for you as an organization or as an Individual User, or generally, at any time in accordance with the Law.

يحق للسجل رفض دخول أي من المستخدمين إلى السجل، أو وقف حسابه كلياً أو جزئياً سواء كمنشأة أو كمستخدم فرد، أو بصفة عامة، في أي وقت، وفقاً للنظام.

Service Policy

سياسة الخدمة

1. For all fee-based transactions, the service is processed and delivered electronically immediately through the web browser at the time the service is requested. If Users wish to have a hard copy of the filed document (or certified search result) they can simply click on the “print" button on the confirmation page. Users may also retrieve the filed document (or certified search result) at any time from the “Search Transaction” list in which the system stores all fee-based transactions for Users ‘future convenience.

1. بالنسبة لجميع المعاملات التي توفر بمقابل مالي، تنفذ الخدمة وتسلم إلكترونياً من خلال المتصفح فوراً عند طلب الخدمة. في حال رغبة المستخدم في الحصول على نسخة ورقية من المستند المحفوظ بالسجل (أو نتيجة البحث المعتمدة) يمكن ببساطة النقر على زر "طباعة" في صفحة التأكيد. ويمكن أيضاً استرجاع الملف المحفوظ (أو نتيجة بحث معتمدة) في أي وقت من قائمة "عمليات البحث" والتي يحفظ فيها النظام جميع المعاملات التي يستوفى عنها مقابل مالي للرجوع إليها مستقبلاً.

2. All communications and notifications from us will be delivered to Users either through the Registry website or by email. No other form, mode or channel of communication or notification will be provided or is required by Registry. By agreeing to these Terms of Use and using the Registry Users agree to such form of communication and notification and waive any right to require or demand notification through any other mode or channel.

The purpose of this privacy statement is to let Users know when personal information is collected and what is done with such information. Registry does not use, share or disclose personal information collected or received through the Registry except as set out in this statement.

Search

Any person can search the Registry without registration, but shall provide the name, email address, and phone number.

Voluntary disclosure of personal information

Users may choose to voluntarily provide personal information through the Registry (e.g. in comments, questions or feedback). This information will be viewable by site administrators, Registry staff (as appropriate) who administrate or work on the Registry.

Collection of Personal Information

Registry may ask or require (including where required by the Law) some personal information when completing an online form (e.g. by submitting information through an online service). If Users choose not to provide information where it is required, the User may not be entitled to the service or benefit offered or could be in breach of statutory obligations.

Holding of information

When personal information is provided, it will be administered by Registry. It may be stored or accessed on our behalf by authorized third parties (such as third-party contractors located on-shore or off-shore) to the extent that is necessary, for example for them to administrate or work on the Registry, and it may be displayed to the public in accordance with law and regulations.

يقوم السجل بإدارة المعلومات الشخصية عند تقديمها. وقد يتم حفظها أو الدخول إليها نيابة عن السجل من قبل أطراف ثالثة مصرح لها (مثل المتعهدين الخارجيين في الداخل أو الخارج) ضمن حدود اللازم، مثلاً لأغراض إدارة السجل أو العمل عليه، وقد يتم إظهار تلك المعلومات للعامة وفقاً للقوانين والأنظمة.

Disclosure of information

الإفصاح عن المعلومات

We will generally not share personal information that is provided or collected through the Registry, unless it is necessary to do so for the purpose for which the information was provided or collected or where Users consent. Registry will not otherwise disclose personal information provided or collected through the Registry unless required or otherwise permitted by law.

لن يتم الكشف عن المعلومات الشخصية التي يتم تقديمها للسجل أو يتم جمعها عبر الموقع عموماً، إلا في حدود ما يلزم لتحقيق الغرض الذي تم تقديم المعلومات لأجله أو بعد موافقة المستخدم. لن يتم الافصاح فيما عدا ذلك عن المعلومات الشخصية التي يتم تقديمها للسجل أو يتم جمعها عبر السجل، إلا إذا أوجب أو أجاز النظام ذلك.

Use of information

Registry will generally only use personal information provided through the Registry for the purpose for which it was provided it (e.g. to effectuate a filing, to administer, evaluate and improve the site, to improve services and to action or respond to the information provided). Registry may also use personal information provided through the Registry for other reasons permitted under law or where the law requires it.

Records and retention of personal information

Registry will only retain personal information as long as it is required for the purposes for which the information may lawfully be used.

Public records

Where any information provided (which may include personal information) to or through this site constitutes public records, it will be retained to the extent required by law.

Collection of Information

When becoming a User of the Registry, personal information will be collected. This information is collected for three purposes:

• for the management of the Account;

• to confirm the User's identity; and

• for determining the usage of the Registry.

If the User does not provide the information requested when attempting to register, you cannot become a User of the Registry.

في حال الامتناع عن تقديم المعلومات المطلوبة عند محاولة التسجيل، لن يتم التسجيل كمستخدم للسجل.

Your rights

You have the right to:

• find out whether we hold personal information about the User;

· معرفة ما إذا كان السجل يحتفظ بمعلومات شخصية عنه أم لا؛

• access that information; and, if applicable

• request corrections to that information.

If Registry has good reason to refusing a request for correction, the User is entitled to request that a statement be attached to the information to which a correction was sought but not made.

Registry does not use cookies on the Registry to gather any personally identifiable information. Cookies can be manually disabled at any time – through the browser's 'Help' to find out how (disabling cookies will not affect your ability to use Registry).

1. The Registry has been implemented in a technical environment that is designed to provide high availability and be fault tolerant. However, as with any technology-based facility, the speed and characteristics of the Registry will vary at different times and under different circumstances and the Registry may not always work as described, and may be subject to faults, interruption or breakdown or be fully or partially unavailable. In addition, the accuracy of Registry Information is dependent on its source.

1. صمم السجل للعمل في بيئة فنية تمتاز بقدرة إتاحة عالية واستيعاب الأخطاء. ومثل أي خدمة تقنية، تختلف سرعة وخصائص السجل باختلاف الأوقات والظروف، وقد لا يعمل السجل طبقاً لأوصافه دوماً، وقد يتعرض لأخطاء أو توقف أو عطل أو لا يتوفر كلياً أو جزئياً. وتعتمد أيضا صحة معلومات السجل على مصدرها.

2. Users expressly agree that use of the Registry is at their sole risk. Neither Registry, its affiliates nor any respective employees, agents or third parties content providers warrant that the Registry will be uninterrupted; nor do they make any warranty as to the Registry Information or any results that may be obtained from use of the Registry, or as to the timeliness, sequence, accuracy, reliability or completeness on content of any information or service provided. Additionally, there are no warranties as to the results obtained from the use of the Registry Information.

2. يقر المستخدم صراحة بأنه يستخدم السجل على مسؤوليته الخاصة. ولا يضمن السجل أو أي من الشركات الحليفة أو أي من الموظفين أو الوكلاء أو مزودي الخدمات الآخرين عدم تعطل السجل. لا يقدم السجل أي ضمان بشأن معلومات السجل أو أي نتائج يمكن الحصول عليها منه، أو توقيت أو تسلسل أو دقة أو موثوقية أو اكتمال محتوى أي معلومات أو خدمة مقدمة. ولا يضمن كذلك النتائج التي يحصل عليها المستخدم من استخدام معلومات السجل.

Users agree that Registry do not make any express or implied warranties, representations or endorsements including but not limited to any warranties of title, non-infringement, merchantability, usefulness, operation, completeness, timeliness, accuracy, satisfactory quality, reliability, fitness for a particular purpose in respect of the Registry Information, the Registry, the material, information and/or functions therein and expressly disclaims liability for errors and omissions in such materials, information and/or functions.

3. يقر المستخدم أن السجل لا يقدم أي ضمانات أو تعهدات أو إقرارات صريحة كانت أم ضمنية، ومنها، دون حصر، أي ضمانات خاصة بملكية معلومات السجل أو السجل أو مواده أو معلوماته و/أو وظائفه أو عدم تعديها على حقوق الغير أو قابلية تسويقها أو الانتفاع منها أو تشغيلها أو اكتمالها أو توقيتها أو دقتها أو نوعيتها المقبولة أو موثوقيتها أو صلاحيتها لغرض ما، ويخلي السجل مسؤوليته صراحة عن أي خطأ أو سهو في هذه المواد أو المعلومات و/أو الخصائص.

4. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, communication line failure, theft or destruction or unauthorized access to alteration of, or use of record, whether for breach of contract, negligence or under any other cause of action. Users specifically acknowledge that Registry are not liable for the defamatory, offensive or illegal conduct to Users or third parties and that the risk of injury from the foregoing rests entirely with Users.

4. ينطبق إخلاء المسؤولية هذا على أي أضرار أو إصابة تنتج عن تعطل السجل أو خطأ به أو سهو منه أو توقفه أو أي حذف منه أو عيب فيه أو تأخر في تشغيله أو إرساله المعلومات أو تعطل خط الاتصال أو سرقة أو تلف أو دخول غير مصرح أو تعديل أو استخدام مخالف للعقد أو التقصير أو لأي سبب آخر. يقر المستخدم صراحة بعدم تحمل السجل مسؤولية أي تصرف ينطوي على تشويه سمعة أو إضرار أو مخالفة للنظام بحق المستخدم أو بحق الغير، يتحمّل المستخدم المسؤولية الكاملة عن الضرر الناتج مما سبق.

Definitions

التعريفات

In these Terms of Use, unless the context implies a contrary intention, the following terms have the meaning set out below:

تُحمل التعبيرات التالية المعاني المبينة أمام كل منها، ما لم يقتض السياق خلاف ذلك:

Account means the account on the Registry which is used to manage and control access to and use of the Registry by a User.

الحساب ، ويراد به الحساب المنشأ على السجل والمستخدم لإدارة ومراقبة الدخول إلى السجل واستخدامه من قبل أي مستخدم.

User means any person or organization that accesses or uses the Registry.

المستخدم، ويراد به أي شخص أو منشأة تدخل إلى السجل أو تستخدمه.

Authorized User means each person who has access to an Account or is otherwise authorized to use an Account.

المستخدم المصرح له ، ويراد به كل شخص يدخل إلى الحساب أو بخلاف ذلك يصرح له باستخدام الحساب.

Registry (Registry) means the Registry of Rights on Movable Assets established under the Law and associated data, information, material, applications, systems, functionality, infrastructure, websites (including any relevant Third-Party Facility) or other things designated by us to form part of the 'Registry'.

السجل ، ويراد به سجل الحقوق على الأموال المنقولة الأردن والمنشأ وفق النظام وما يرتبط به من معلومات أو بيانات أو مواد أو تطبيقات أو نظم أو خصائص أو بنية تحتية أو مواقع (ومنها أي خدمات خارجية ذات صلة) أو أشياء أخرى تحدد كجزء لا يتجزأ من "السجل".

REGISTRY Information means all data, information and material of any kind (including data, information and material provided by a third party) contained in or made available via the Registry.

معلومات السجل ، ويراد بها جميع البيانات والمعلومات والمواد بأنواعها (ومنها البيانات والمعلومات والمواد التي يقدمها الغير) المحفوظة بالسجل أو التي تتاح عبره.

Law means the Law on Securing Rights with Movable Property.

النظام ، نظام ضمان الحقوق بالأموال المنقولة الصادر بالمرسوم الملكي رقم () وتاريخ () ولائحته التنفيذية.

Third Party Facility means any system, service, function, facility, data, information or material provided by or sourced by us from a third party.

الخدمة الخارجية ، ويراد بها أي نظام أو خدمة أو خاصية أو تسهيل، أو بيانات أو معلومات أو مواد يقدمها الغير أو يحصل عليها السجل منه.

Unauthorized Purpose includes any use that breaches or is inconsistent with the Law or that the Registry otherwise determines is unauthorized.

الغرض غير المصرح به ، ويشمل أي استخدام يخالف النظام أو يتعارض معه، أو يصفه السجل بأنه غير مصرح.

User means any person or organization that accesses or uses the Registry.

المستخدم ، ويراد به أي شخص أو منشأة تدخل إلى السجل أو تستخدمه.

We and Us means the Registry.

ضمير المتكلم الجمع الفاعل (نحن/نا) وضمير المتكلم الجمع المفعول به (نا)، ويراد به السجل.

You means the relevant person using the Registry and where your use is in a capacity as a representative of an organization, means both you and that organization.

ضمير المخاطب المفرد والجمع (أنت/أنتم)، ويراد به الشخص المعني الذي يستخدم السجل، وإذا كنت تستخدم السجل بصفتك ممثلاً لمنشأة ما، فيراد به أنت وتلك المنشأة.
